EAZE ANNOUNCES $35 MILLION INVESTMENT TO LAUNCH VERTICAL OPERATIONS AND INCREASE CANNABIS ACCESS FOR 600,000+ CUSTOMERS

Reports 71 Percent Annual Increase in Overall Deliveries and 74 Percent Annual Increase in First-Time Deliveries

Eaze, California’s largest legal cannabis marketplace, announced today it has closed a $20 million investment and secured the ability to raise up to an additional $20 million to complete its Series D funding, inaugurating Eaze’s verticalization and brand strategy to expand access to safe, legal, and affordable cannabis products.

The $20 million from Series D investors -- led by FoundersJT LLC -- joins a $15 million bridge round led by Eaze key stakeholders, Rose Capital and DCM.

Eaze Chief Executive Officer Ro Choy said, “Verticalization is Eaze’s second act. Until now, we’ve invested in proving our market fit, building an enormous and loyal customer base, and becoming California’s biggest marketplace for legal cannabis delivery. Now, we’re proving we can make this business work in a more sustainable and profitable way, while continuing to grow Eaze’s existing services.”

In January, Eaze acquired DionyMed Brand’s rights to retail licensee Hometown Heart (HTH) depots in Oakland and San Francisco, and now has oversight of HTH’s day-to-day operations. In the coming weeks, Eaze will launch its own line of consumer brands in partnership with local licensees while continuing to support a broad array of independent, world-class California brands and independent licensed retailers across the state.

Despite challenges to California’s legal cannabis industry, the company experienced significant growth in 2019, as reported in the latest Eaze Insights: State of Cannabis Report. Highlights for 2019 include:

  • 97% annual increase in new sign-ups

  • 74% annual increase in first-time deliveries

  • 71% annual increase in overall deliveries

  • 104% annual increase in customers age 50+

Eaze also announced the promotions of Megan Miller to Chief Operating Officer and John Curtis to Chief Financial Officer. Miller, who previously served as Eaze’s Vice President of Finance and Marketplace, brings a unique combination of deep financial planning skills and comprehensive understanding of Eaze’s business to her new role. Curtis, who has served as interim CFO since October 2019, has been instrumental in sizing Eaze’s business and charting the company’s path forward to verticalization.

To-date, Eaze has supported over five million legal deliveries, has 600,000 registered customers, and features more than 100 licensed brands through its network of retail partners.

The Medicinal and Adult-Use Cannabis Regulation and Safety Act (MAUCRSA), which was signed into law in June 2017, creates the general framework for the regulation of commercial medicinal and adult-use cannabis in California. The text of MAUCRSA is available on the California Legislative Information website.

MAUCRSA also established a dual licensing structure in which both the state and local governments participate in setting guidelines and public health standards for the industry. The state sets minimum requirements that all licensees must follow, and local governments are able to set additional requirements.

Cannabis Legislation Timeline

2017 – The California State Legislature passed a budget trailer bill, Senate Bill 94, that integrated MCRSA with AUMA to create the Medicinal and Adult‐Use Cannabis Regulation and Safety Act (MAUCRSA). Under MAUCRSA, a single regulatory system governs the medicinal and adult-use cannabis industry in California.

2016 – California voters passed Proposition 64, the Adult Use of Marijuana Act (AUMA). Under Proposition 64, adults 21 years of age or older can legally grow, possess, and use cannabis for non-medicinal purposes, with certain restrictions. Additionally, AUMA also made it legal to sell and distribute cannabis through a regulated business as of January 1, 2018.

2015 – The legislature passed the Medical Cannabis Regulation and Safety Act (MCRSA), a series of three bills that created a state licensing and regulatory system for the existing medical market. MCRSA also established the state’s three cannabis licensing authorities – (Bureau of Cannabis Control, CalCannabis Cultivation Licensing, and Manufactured Cannabis Safety Branch). These bills were repealed when MAUCRSA was passed in 2017.

1996 – California voters passed Proposition 215, the Compassionate Use Act (CUA) – the first voter-approved state ballot initiative for medical marijuana in the United States. CUA allowed qualified patients and approved caregivers to possess and cultivate medical cannabis and ultimately led to the formation of collectives and cooperatives to serve medical patients throughout the state.

The City of Chula Vista has adopted local laws that authorize licensed cannabis retail, manufacturing, testing, distribution, and cultivation businesses to operate in Chula Vista.

Updates

  • For your information, the City of Chula Vista anticipates opening another Application Period for manufacturing, distribution, cultivation, and testing laboratories in late February or early March 2020. The city is also exploring the possibility of a reduced application fee for those who have previously submitted a substantially similar application with the City of Chula Vista.

  • On January 15, 2019, the City Council set the tax rate for cultivation at $15 per square foot of canopy and 7% of gross receipts on all other cannabis businesses.

Chula Vista has recently begun to issue Notice of Decision letters. Applicants receiving Notice of Decision letters have the right to appeal to the City Manager in accordance with Chula Vista Municipal Code section 5.19.050.A.6. The city will post a list of applicants that have been approved to move on to Phase II of the application process in the coming weeks.

Last December, the Major League Baseball association and players union officially agreed to remove cannabis from the major and minor league’s list of Drugs of Abuse. This makes the MLB the first American sports league to reduce its punishments for marijuana use. Beginning with 2020 spring training, cannabis consumption by players will be treated the same way as alcohol use. Previously, testing positive for THC resulted in mandatory drug treatment for players.

Hawaii has become the 26th state to decriminalize the possession of cannabis. Currently, the state allows medicinal marijuana sales and now possession, and it is still not legal recreationally. The new measure came into effect on January 11th, 2020. Residents possessing 3 grams of cannabis or less may be punishable by fine.

Based on the fact that Hawaii already allows travelers to purchase cannabis, there are definitely some exciting possibilities for the new year. With so many bills currently up for consideration, and a fair amount of support for cannabis in both the House and the Senate. 2020 could bring a lot of change for the industry based on some of these proposals, as a total of 21 new measures have been introduced. “The last one went through the House and the Senate with no reservations,” said Rep. Richard Creagan, who co-sponsored both bills currently introduced to the House. “So, I hope the governor will be able to change his perceptions on the bill this time.”

Other bills introduced in the Hawaii House allow people to distribute cuttings of cannabis, legalize the selling cannabis seeds,  and another proposes legal edible sales for those inside the state.

The Senate bills focus more on legalization and sculpting the future of the Hawaiin cannabis industry. These bills plan on expanding the amount of allowed cannabis and measures to push toward full recreational adult-use.

Sales, Use, and Cannabis Taxes

California taxes its residents on all income, including income from cannabis business activities. California taxes non-residents on income from California sources. All income apportioned to California by business entities is taxable. Income from entities organized as not-for-profit is also taxable. On January 28th, 2020, the Berkeley City Council voted “yes” to allow cannabis consumption lounges in the city. Some residents are up in arms about a dispensary and cannabis lounge being located at one of the busiest intersections in the city.

Berkeley Patients Group (BPG) is looking to move into a larger location close to this intersection a few blocks from University and San Pablo Avenues. BPG states that bigger space will give more room to operate and ultimately open an attached cannabis smoking lounge. Their plan is to bring economic revenue to the area. Lauren Watson with BPG said, “Right now that neighborhood is an eye sore on make it a beautiful space. A nice entrance to the city.”

The Berkeley city council is rapidly making changes to their cannabis regulations for the better. The city council also looked at legalizing up to seven cannabis delivery services in Berkeley, expanding the area where cannabis can be cultivated, and set up warehouses that can take phone and internet orders. With the “yes” vote, it now opens the door to having smoking lounges in other areas of the city.

Cannabis Business Permits

The City of Stockton is accepting applications for commercial cannabis businesses.

 

Applications – Delivery, Non-Volatile Manufacturer, and Testing Lab

There is no limit on the number of permits for Delivery, Non-Volatile Manufacturer, and Testing Lab businesses. Interested parties may apply beginning April 4, 2019. 

 

Applications – Retail Storefront, Cultivation, Volatile Manufacturer, and Microbusiness

The City will be issuing two new permits on an annual basis, using a lottery system, for each of these business types:

  • Retail Storefront - Dispensary

  • Cultivation

  • Volatile Manufacturer

  • Microbusiness

Applications for these permits will be accepted for General Pool and Equity Pool each year. Four of the annual permits issued – one per business type – will be reserved for an Equity Applicant. See “Equity Program” below.

This timeline is provided for applicants interested in participating in the 2020 Commercial Cannabis Business Lottery.

  • Application period: March 1 - April 30, 2020

    • These sessions will be held to review the lottery application process and to answer questions.  The sessions will be held on:

    • City staff will conduct a review of the applications and reject or approve applications.  A lottery number will be assigned to each approved application.  Each applicant will be notified of their assigned lottery number via email.  The email provided on the application will be used and the applicant must notify the city to update the email address.

  • Eligibility Notification: May 29, 2020

    • The applicant will be notified of eligibility, if approved.

  • Random Lottery Selection: June 18th, 2020 at 10:00 am

    • The public drawing will be held at Stockton Memorial Civic Auditorium, North Hall, 525 N El Dorado St, Stockton, CA 95202

  • Selection Notification: June 30, 2020

    • Winners of the Commercial Cannabis Lottery will be notified by this date.

Each applicant is responsible for reviewing the Stockton Municipal Code and submitting a complete application compliant with all laws and regulations.

    • Issued by the Administrative Services Department, Business Licensing Division

Equity Program

The City will issue half of the permits for Retail Storefront - Dispensary, Cultivation, Volatile Manufacturer, and Microbusiness to Equity applicants. To qualify as an Equity Applicant:

  • Greater than 50% of ownership must be a Stockton resident AND meet ONE of these criteria:

    • Minority Business Enterprise (MBE)

    • Women’s Business Enterprise (WBE)

    • Live in one of Stockton, California Opportunity Zones

    • Live in an SB 535 Disadvantaged Area 

    • Live in a HUD-designated Area

Workforce Diversity Program

The Workforce Diversity Program is a voluntary program for Commercial Cannabis Businesses.  A business will be able to apply for the program during the business license application process and annual business license renewal process.

  • Commercial Cannabis Businesses must meet a 50% diverse workforce requirement during the time of application of the business license or at the time of renewal.

    • To qualify, at least 50% of the business' employees must reside within the SB 535 Disadvantaged Area of the City of Stockton boundaries or reside in the Kelley Drive neighborhood at the time of business license application or renewal.

  • If the threshold is met, the Commercial Cannabis Business will be provided a 50% reduction of the total amount due in taxes based on estimated gross receipts provided at the time of renewal of the business license.

  • Existing Commercial Cannabis Businesses will be able to participate in the voluntary program at the time of their annual business license renewal.

Commercial Cannabis Business Tax Rates

Operators are required to pay a Commercial Cannabis Business Tax based on the revenue received.  

 As of August 15, 2019, the rates are:

  • Storefront Retail (Dispensary) / Non-Storefront Retail (Delivery) - 5%

  • Distribution - 1%

  • Manufacturing (Volatile and Non-Volatile) - 3%

  • Cultivation - 5%

  • Testing - 0%

  • Microbusiness - 5%

  • SMC Title 5 - Chapter 5.98, 5.99, and 5.100

  • Development Code Title 16 - Chapter 16.20, Section 16.20.020; Chapter 16.64, Section 16.64.040; Chapter 16.80, Section 16.80.195; and Chapter 16.240, Section 16.240.020

The most recent changes were approved on July 17, 2019 and go into effect on August 15, 2019.
